01Definitions
- check_circleRonds / we: the collaboration between Roodhart (Emission Control) and Monitec, established in Rotterdam, user of these terms and conditions.
- check_circleClient: the party with whom Ronds enters into an agreement or to whom a quotation is issued.
- check_circleServices: all products, hardware, software (including the SuperCare platform) and service activities in the field of condition monitoring delivered by Ronds.
02Applicability
These terms and conditions apply to all offers, quotations and agreements between Ronds and the client. Deviations apply only if agreed in writing. The applicability of any purchasing or other terms of the client is expressly rejected.
03Quotations and offers
All quotations and offers are without obligation and valid for 30 days unless otherwise stated. Obvious mistakes or errors in an offer do not bind Ronds. An agreement is concluded upon written confirmation by Ronds or at the moment performance has commenced.
04Prices and payment
All prices are in euros and exclusive of VAT unless stated otherwise. Payment must be made within 30 days of the invoice date, without set-off or suspension. In the event of late payment, the client is in default by operation of law and owes the statutory commercial interest as well as extrajudicial collection costs.
05Performance and delivery
Ronds will make every effort to perform the agreement to the best of its insight and ability. Stated periods for delivery or installation are indicative and never constitute a strict deadline. The client ensures that all data and facilities required for performance are made available in good time and free of charge.
06Retention of title
All delivered goods remain the property of Ronds until the client has fully met all obligations under the agreement. Software and use of the SuperCare platform are provided under licence only; no transfer of ownership takes place.
07Warranty
Ronds warrants the soundness of delivered hardware in accordance with the manufacturer's specifications and for the corresponding warranty period. Warranty lapses in the event of improper use, unauthorised modifications, or failure to follow installation and maintenance instructions.
08Liability
The liability of Ronds is limited to the amount paid out under its liability insurance in the relevant case, or — failing that — to the invoiced amount of the relevant assignment. Ronds is never liable for indirect damage, including consequential loss, lost profit or business interruption. These limitations do not apply in the event of intent or deliberate recklessness on the part of Ronds.
09Force majeure
In the event of force majeure, Ronds is entitled to suspend performance of the agreement or to dissolve the agreement in whole or in part, without being liable for any compensation. Force majeure also includes: disruptions in supply chains, energy and network failures, and government measures.
10Intellectual property and confidentiality
All intellectual property rights to software, reports, analyses and methods developed by Ronds rest with Ronds or its licensors. Both parties undertake to keep confidential all confidential information they obtain from each other in the context of the agreement.
11Governing law and disputes
All agreements between Ronds and the client are governed exclusively by Dutch law. Disputes are submitted to the competent court of the Rotterdam district, unless mandatory law provides otherwise.
